1. Income Requirement
- Individual income exceeding $200,000 in each of the last two years, with a reasonable expectation of the same in the current year; or
- Joint income with a spouse or spousal equivalent exceeding $300,000 in each of the last two years, with a reasonable expectation of the same in the current year.
2. Net Worth Requirement
Net worth exceeding $1,000,000, individually or jointly with a spouse or spousal equivalent, excluding the value of your primary residence.
3. Professional Certifications
- Holding certain securities licenses in good standing, including:
- Series 7
- Series 65
- Series 82
- Series 7

4. Entity Qualification
- An entity with assets exceeding $5,000,000 not formed solely for the purpose of acquiring the securities; or
- An entity in which all equity owners are accredited investors.
5. Insiders of the Issuer
You qualify as an Accredited Investor if you are a director, executive officer, or general partner of the company issuing the securities (the “Issuer”), or of a general partner of the Issuer.
Under Rule 501(a) of Regulation D, an executive officer generally includes the President, Chief Executive Officer, Chief Financial Officer, Chief Operating Officer, or any other officer who performs policy-making functions for the Issuer.
This qualification is based on the individual’s position and access to information within the company and does not require meeting the income or net worth thresholds.
